TRIPRECOS TERMS OF SERVICE


Effective Date: July 1 2025

These Terms of Service (“Terms”) govern your access to and use of TripRecos’ website, mobile applications, APIs and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

 

1. Definitions

  • “TripRecos”, “we”, “us” or “our”: TripRecos, Inc., a New York corporation.

  • “User” or “Traveler”: Any individual or entity that registers to request or receive travel recommendations through the Service.

  • “Trippie”: Any individual or entity that registers to provide travel recommendations via the Service.

  • “Content”: Text, images, audio, video, data or other information posted or provided by Users, Trippies or TripRecos.

2. Eligibility

You must be at least 18 years old and able to form legally binding contracts under applicable law. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration & Security

  • You agree to provide accurate, current and complete information when creating your account.

  • You are solely responsible for safeguarding your password and account.

  • You agree to notify TripRecos immediately of any unauthorized use of your account.

4. Independent Contractors

  • Trippies are independent contractors, not employees, agents, partners or joint venturers of TripRecos.

  • TripRecos does not control how Trippies provide recommendations, nor does it guarantee any specific result.

5. Booking & Advice Disclaimer

  • No Professional Advice. All recommendations and advice provided by Trippies are for informational purposes only. TripRecos does not guarantee the accuracy, completeness or usefulness of any recommendation.

  • Booking at Your Own Risk. Any travel bookings, reservations or arrangements you make based on Trippies’ advice are made at your sole discretion and risk. TripRecos is not responsible for any errors, omissions, cancellations, delays, costs, injuries, losses or damages arising from such bookings.

  • No Warranties. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

6. Acceptable Use & Prohibited Conduct

You agree not to misuse the Service. Prohibited conduct includes, but is not limited to:

  • Violating any law, infringing intellectual property, or violating privacy rights.

  • Posting spam, malware, or malicious code.

  • Harassing, abusing, or harming others or the Service.

  • Attempting to gain unauthorized access to systems or data.

  • Impersonating any person or entity.

7. DMCA & Copyright Policy

We respect intellectual property rights. If you believe your copyrighted work has been infringed, please send a notice to our Designated Agent (legal@triprecos.com) including:

  1. A description of the work claimed infringed.

  2. Identification of infringing material and its location.

  3. Your contact information and a statement of good faith belief.

  4. A statement, under penalty of perjury, that your notice is accurate.
    TripRecos will respond in accordance with the Digital Millennium Copyright Act.

8. Cookies & Tracking Technologies

We use cookies and similar technologies to operate the Service and improve your experience. For details, see our Cookie Policy at [/cookie-policy].

9. Export Controls & Compliance

You agree to comply with all applicable export and re-export laws and regulations, including U.S. Export Administration Regulations.

10. Content Standards & License

  • You agree not to post Content that is unlawful, harmful, defamatory, infringing, obscene or otherwise objectionable.

  • By submitting Content, you grant TripRecos a worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, publish and display such Content in connection with the Service.

11. Feedback License

If you submit suggestions, ideas or feedback regarding the Service, you grant TripRecos a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback without obligation.

12. Removal & Suspension

TripRecos reserves the right, in its sole discretion, to:

  1. Remove or disable access to any Content;

  2. Suspend or terminate any User or Trippie account (with or without notice);

  3. Refuse service to anyone for any reason.

13. Fees, Payments & Refunds

  • TripRecos may charge fees for certain features. Applicable fees will be disclosed prior to purchase.

  • All payments are non‑refundable except as required by law or our Refund Policy: [brief summary of refund eligibility].

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPRECOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify, defend and hold harmless TripRecos and its officers, directors, employees and agents from any claim, demand, loss or liability, including reasonable attorneys’ fees, arising out of or related to:

  • Your breach of these Terms;

  • Your use of the Service;

  • Any Content you post;

  • Your violation of any third‑party right.

16. Intellectual Property

All trademarks, service marks, trade names, logos, domain names and other proprietary rights in the Service belong to TripRecos or its licensors. You may not use any of TripRecos’ intellectual property without our prior written permission.

17. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference and available at [/privacy-policy].

18. Third‑Party Links & Services

The Service may contain links to third‑party websites, products or services. TripRecos does not endorse and is not responsible for any third‑party content, products or services.

19. Force Majeure

TripRecos is not liable for any failure or delay due to causes beyond its reasonable control, including natural disasters, acts of government, internet failures or cyberattacks.

20. Survival

Provisions that by their nature should survive termination (including Sections 5, 12, 14, 15, 17, 19, 20 and 22) will survive any termination of these Terms.

21. Arbitration & Dispute Resolution

For any dispute arising from or relating to these Terms or the Service, the parties agree to:

  1. Engage in good‑faith negotiation.

  2. If unresolved within 30 days, submit to binding arbitration under the American Arbitration Association’s rules.

  3. The arbitration will occur in New York County, New York.

  4. Each party bears its own costs, except the arbitrator may allocate fees if the claim is frivolous.

22. Entire Agreement; Assignment; Notices

  • Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy and any additional terms posted by TripRecos, constitute the entire agreement.

  • Assignment. You may not assign these Terms without our prior written consent. TripRecos may assign at its discretion.

  • Notices. We may provide legal notices via email or postings on the Service. You consent to receive notices electronically.

23. Governing Law & Venue

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law principles. Any dispute will be resolved in the state or federal courts located in New York County, New York.

24. Severability & Waiver

  • Severability. If any provision is invalid or unenforceable, the remaining provisions remain in full force.

  • Waiver. No waiver of any term will be deemed a waiver of any other.
